1. About these terms
These terms set out how Delta T Growth ("we", "us", "our") provides social media and Google Business Profile management services to you, the client ("you", "your"). By starting the service, paying an invoice, or providing us with access to your accounts, you agree to these terms.
Delta T Growth is operated by Rob Davis as a sole trader based in Zuchwil, Solothurn, Switzerland.
2. The service
We provide done-for-you social media and Google Business Profile management. The exact deliverables, such as the number of posts per week, the platforms covered, and whether stories are included, are set out in the proposal or package you agree to. We will run and maintain your agreed channels each month, including creating, editing and posting content, managing your community, and responding to reviews as agreed.
3. How content and information is shared
To deliver the service smoothly, we need a simple, ongoing flow of information from you. This normally works as follows:
- You send us photos, videos, job updates, offers and any other material via WhatsApp, or another agreed channel such as email or a shared folder.
- Sending us usable content regularly, for example photos of completed jobs, is what keeps your content authentic and effective. The more you send, the stronger your results.
- Where you do not supply fresh material, we will create content from what we have, using our own industry knowledge, stock imagery and previously supplied assets, so your channels stay active.
- Any approvals, changes or specific requests should also be sent through the agreed channel so there is a clear record.
- We aim to respond to messages within normal working hours, Monday to Friday. We are not expected to be available evenings, weekends or public holidays.
You are responsible for making sure any content, images or information you send us is accurate, and that you have the right to use and share it.
4. Fees, invoicing and payment
- Fees are the monthly amount set out in your agreed proposal or package.
- Invoices are issued on the 1st of each month for that month's service.
- Payment is due within 7 days of the invoice date.
- If you start partway through a month, your first invoice will be charged pro rata for the remaining days of that month. From the following month onward, you will be invoiced in full on the 1st as normal.
- If payment is not received within the 7 day term, we may pause work on your accounts until payment is made. Repeated or prolonged late payment may result in the service being ended.
5. VAT
Delta T Growth is based in Switzerland and is not registered for UK VAT. Our fees are therefore quoted and invoiced with no UK VAT added. Depending on your own circumstances and the applicable rules, you may be responsible for accounting for VAT on services received from an overseas supplier. You should take your own advice on this if you are unsure. If our VAT status changes in future, we will notify you in advance.
6. Cancellation
There is no long-term tie-in. Either party may cancel the service by giving 30 days' written notice, sent by email or through the agreed messaging channel.
- During the 30 day notice period the service continues as normal and remains payable.
- Any invoice already issued within the notice period remains due in full.
- We do not provide refunds for the current month once that month's service has begun.
7. Ownership of content
Once an invoice for the relevant period has been paid in full, ownership of the final published content we create for you during that period passes to you. You are free to keep and reuse that content after the service ends.
- Any raw materials, photos or information you supplied to us always remain yours.
- Our own templates, systems, processes and working methods remain our property and are not transferred to you.
- Where content includes third-party elements such as licensed stock images or fonts, your right to use those is subject to the terms of the relevant licence.
- You are responsible for maintaining your own access to your social media and Google accounts. We will not withhold access to accounts that belong to you.
8. Your responsibilities
- Providing timely access to the accounts and profiles we are managing on your behalf.
- Responding to reasonable requests for information, approvals or material so we can keep your channels running.
- Ensuring the information you give us is accurate and lawful to publish.
9. Liability
We deliver the service with reasonable skill and care. We cannot guarantee specific results such as a set number of leads, enquiries, followers or rankings, as these depend on many factors outside our control, including the platforms themselves. To the extent permitted by law, our total liability to you is limited to the fees paid by you for the month in which any issue arises. Nothing in these terms limits liability where it cannot lawfully be limited.
10. Governing law
These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
